PLEASE READ THIS END USER LICENSE AGREEMENT CAREFULLY BEFORE DOWNLOADING, INSTALLING, OR USING NOTESXML OR IWV CHAT AI. BY CLICKING "AGREE," DOWNLOADING, INSTALLING, OR USING EITHER SOFTWARE, YOU AGREE TO BE BOUND BY THE TERMS OF THIS AGREEMENT. IF YOU DO NOT AGREE, DO NOT INSTALL OR USE THE SOFTWARE.
Subject to the terms and conditions of this Agreement, IWV Digital Solutions grants you a limited, non-exclusive, non-transferable, revocable license to install and use the App on devices you own or control.
For IWV Chat AI specifically, IWV Digital Solutions grants you a perpetual, royalty-free license to install and use IWV Chat AI on any number of devices you own or control, for personal or commercial purposes, without cost. No License Key is required. No payment is required. There is no Free/Professional tiering. The IWV Chat AI license grant is not subject to Section 4 (License Tiers, Pricing, and Payment) of this Agreement.
IWV Chat AI bundles or downloads third-party AI models that are licensed separately from IWV Chat AI itself. Your use of those bundled or downloaded models is governed by their respective licenses, including:
You are responsible for complying with the terms of any model license that applies to your use of IWV Chat AI's AI features. The IWV Digital Solutions third-party licenses page at https://iwvdigitalsolutions.com/legal/third-party lists the model licenses currently in effect.
For NotesXML specifically, IWV Digital Solutions grants you a license in accordance with the NotesXML license tier you have activated:

All license types are for personal use on the licensed user's own devices unless otherwise stated in a separate written commercial agreement with IWV Digital Solutions. "Personal use" means use of the App for your own note-taking and personal information management, including in a professional or academic context. This restriction prohibits commercial redistribution, resale, or sub-licensing of the App — it does not restrict you from using the App in the course of your work.
Upon first installation, you receive a 14-day "All Access" trial providing full Professional-level feature access. After 14 days, if no valid Professional License is detected, the App automatically transitions to the Free Tier. No payment is required for the trial. Your User Data is preserved regardless of tier.
The Academic License is available at a reduced price to eligible students and faculty members. Eligibility requires verification using a valid .edu email address or equivalent institutional email. You represent that you are an eligible student or faculty member at the time of purchase. IWV Digital Solutions reserves the right to revoke an Academic License if the eligibility representation is found to be false, without refund.
Beta Tester Licenses provide 30 days of full Professional-level feature access. Beta builds are pre-release software provided for testing purposes. Beta software may contain errors, bugs, or incomplete features. IWV Digital Solutions provides no warranty for Beta software. Your User Data is preserved at Beta expiration; the App transitions to the Free Tier. Upon Beta expiration, IWV Digital Solutions will provide a 30 percent discount code for upgrade to Professional, valid for 30 days from the date of issuance. The discount code is delivered by email to the address associated with the Beta Tester License at the time of expiration.
Developer-Granted VIP Licenses are issued by IWV Digital Solutions at its sole discretion. VIP Licenses are non-transferable, non-commercial, and may be revoked by IWV Digital Solutions at any time with or without cause. No payment is required for a VIP License.
All paid and granted license types (Professional, Academic, Beta Tester, VIP) permit activation on up to 5 (five) devices simultaneously. The App generates a SHA-256 device fingerprint on each install and registers it against your License Key on activation. To activate on a 6th device, you must first deactivate one of your existing 5 devices via Settings → License → Manage Devices, or contact support to remotely deactivate a lost or stolen device.
The 5-device limit is enforced by IWV Digital Solutions's activation server. The App includes a 7-day offline grace period during which it will continue to function while temporarily unable to reach the activation server. After the grace period, the App will require a successful activation check or will transition to the Free Tier until reachability is restored.

NotesXML contains no advertising in any tier (Free, Trial, Professional, Academic, Beta, or VIP) and on any platform. IWV Digital Solutions does not embed advertising SDKs, collect advertising identifiers, or transmit user data for advertising purposes in any NotesXML build. The full technical scope of this commitment is documented in the NotesXML Privacy Policy at https://iwvdigitalsolutions.com/legal/privacy (Section 3.1).

The App, including all software, code, algorithms, graphics, user interface design, documentation, and accompanying materials, is and remains the exclusive property of IWV Digital Solutions LLC. This Agreement does not grant you any ownership interest in the App.
You own your User Data. IWV Digital Solutions claims no intellectual property rights over content you create using the App. IWV Digital Solutions cannot access your User Data because it is stored locally on your device (and optionally in your own cloud storage account). See the Privacy Policy for details.
The names "NotesXML," "NXL," "IWV Digital Solutions," and associated logos are trademarks of IWV Digital Solutions LLC. This Agreement does not grant you any right to use these trademarks.
IWV Digital Solutions may release updates, patches, and new versions of the App. Updates distributed through the Google Play Store and Microsoft Store may be applied automatically. For direct downloads, you are responsible for downloading and installing updates. This Agreement applies to all updates and upgrades.
IWV Digital Solutions reserves the right to modify, suspend, or discontinue any feature of the App at any time. We will provide reasonable notice of material feature removals that affect paid tier functionality.
This Agreement and the license granted herein are effective until terminated.
Upon termination: (a) all rights granted to you under this Agreement immediately cease; (b) you must uninstall and delete all copies of the App in your possession. Sections 5, 9, 10, 11, 12, 13, and 14 of this Agreement survive termination.
Termination does not entitle you to a refund except as provided in the Refund Policy at https://iwvdigitalsolutions.com/legal/refund. Termination does not affect your ownership of your User Data.
9.1 NotesXML includes optional artificial intelligence features (“AI Features”) that use on-device language models to generate text, summaries, translations, titles, action items, and other content (“AI Output”). AI Features run entirely on your device using downloaded AI model files. No user content is transmitted to IWV Digital Solutions or any third party for AI processing.
9.2 No Guarantee of Accuracy. AI Output is generated by statistical language models and may be inaccurate, incomplete, misleading, or inconsistent. AI models may produce outputs that appear plausible but contain factual errors, omissions, logical inconsistencies, or fabricated information. The same input may produce different AI Output on different occasions. Output quality varies by model size, task complexity, input quality, and device hardware.
9.3 User Responsibility. You are solely responsible for reviewing, verifying, and validating any AI Output before relying on it for any purpose, including but not limited to professional, academic, legal, medical, financial, or personal decision-making. AI Output does not constitute advice of any kind.
9.4 No Professional Substitute. AI Features are general-purpose text processing tools. They are not a substitute for professional advice from qualified human practitioners in any field. Do not use AI Output as the sole basis for decisions that could affect your health, safety, legal standing, financial position, or the welfare of others.
9.5 First-Use Acknowledgment. The first time you use an AI Feature, the App will display a disclaimer notice requiring your affirmative acknowledgment. By checking the acknowledgment box and proceeding, you confirm that you have read and understood the limitations described in this Section and accept responsibility for verifying AI Output.
9.6 Limitation of Liability for AI Output. To the maximum extent permitted by applicable law, IWV Digital Solutions shall not be liable for any damages, losses, costs, or expenses arising from or related to your use of or reliance on AI Output, including but not limited to damages resulting from inaccurate, incomplete, or misleading AI Output. This limitation applies regardless of whether IWV Digital Solutions has been advised of the possibility of such damages.
THE APP IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IWV DIGITAL SOLUTIONS EXPRESSLY DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING WITHOUT LIMITATION ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.
IWV DIGITAL SOLUTIONS DOES NOT WARRANT THAT: (A) THE APP WILL MEET YOUR REQUIREMENTS; (B) THE APP WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE; (C) THE RESULTS OBTAINED FROM THE USE OF THE APP WILL BE ACCURATE OR RELIABLE; OR (D) ANY ERRORS IN THE APP WILL BE CORRECTED.
Some jurisdictions do not allow the exclusion of implied warranties, so the above exclusions may not apply to you in full. Nothing in this Agreement excludes or limits any statutory rights you may have that cannot be waived under applicable law.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL IWV DIGITAL SOLUTIONS, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION LOSS OF PROFITS, LOSS OF DATA, LOSS OF GOODWILL, SERVICE INTERRUPTION, COMPUTER DAMAGE, OR SYSTEM FAILURE, ARISING OUT OF OR IN CONNECTION WITH THIS AGREEMENT OR THE USE OR INABILITY TO USE THE APP, EVEN IF IWV DIGITAL SOLUTIONS HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
IN NO EVENT WILL IWV DIGITAL SOLUTIONS'S TOTAL CUMULATIVE LIABILITY TO YOU EXCEED THE AMOUNT ACTUALLY PAID BY YOU FOR THE APP IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE CLAIM, OR $50 USD IF NO PAYMENT WAS MADE.
Some jurisdictions do not allow the limitation or exclusion of liability for incidental or consequential damages, so the above limitation may not apply to you in full. Nothing in this Agreement limits liability that cannot be limited under applicable law.
You agree to indemnify, defend, and hold harmless IWV Digital Solutions LLC and its officers, directors, employees, agents, and licensors from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to: (a) your use of the App in violation of this Agreement; (b) your violation of any applicable law or regulation; or (c) your infringement of any third-party intellectual property rights using the App.
You agree to comply with all applicable United States and international export laws and regulations governing the App and related technology. You represent that you are not located in a country subject to U.S. export embargo and that you are not on any U.S. government prohibited or restricted parties list.
If any provision of this Agreement is held to be invalid, illegal, or unenforceable, the remaining provisions will continue in full force and effect. The invalid provision will be modified to the minimum extent necessary to make it enforceable.
This Agreement, together with the Privacy Policy at https://iwvdigitalsolutions.com/legal/privacy and the Refund Policy at https://iwvdigitalsolutions.com/legal/refund, constitutes the entire agreement between you and IWV Digital Solutions with respect to the App and supersedes all prior agreements, understandings, negotiations, and discussions, whether oral or written.
