1. Acceptance of Terms

These Terms of Service ("Terms") govern your access to and use of two software applications operated by IWV Digital Solutions LLC ("IWV Digital Solutions," "we," "our," or "us"), a California limited liability company:

The NotesXML application ("NotesXML"), a cross-platform note-taking and productivity application.
The IWV Chat AI application ("IWV Chat"), a free, offline AI assistant application.

"The App" or "the Apps" refers to either or both applications, as context requires. These Terms also govern your use of the IWV Digital Solutions website at iwvdigitalsolutions.com ("Website") and all related services.

By downloading, installing, using either App, or accessing the Website, you agree to be bound by these Terms and our Privacy Policy at https://iwvdigitalsolutions.com/legal/privacy. If you do not agree, you may not use the Apps or Website.

If you are using either App on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

2. Description of Services

2.1 NotesXML

NotesXML is a cross-platform note-taking and personal information management application that provides:

A local-first XML-based data storage system for notebooks, notes, and documents.
22 note types including text, lists, tables, images, audio, drawing, PDF, video, tasks, events, and contacts.
Optional encrypted cloud synchronization with Google Drive and Dropbox.
Import and export capabilities for multiple formats (ENEX, Markdown, CSV, HTML, PDF).
A two-tier access model: Free and Professional (see Section 4).

NotesXML is available on Android (Google Play Store), Windows (Microsoft Store), and as a direct download for Linux and Windows desktop platforms.

Feature availability varies by tier and platform. The current feature matrix is published at https://iwvdigitalsolutions.com/products/notesxml.

2.2 IWV Chat AI

IWV Chat AI is a free, offline AI assistant application that provides:

Multi-turn conversational AI using on-device language models.
Voice input via on-device speech recognition (whisper.cpp).
Text-to-speech output for AI responses.
Optional AI Vision (image analysis) using on-device multimodal models.
Persistent conversation history stored locally on your device.
A fixed, curated set of two AI models — one lightweight text model and one multimodal model.

IWV Chat AI is available on Android (Google Play Store), Windows (Microsoft Store), and as a direct download for Linux and Windows desktop platforms.

IWV Chat AI is and will remain permanently free of charge. There is no Free/Professional tiering, no subscription, no in-app purchase, no upgrade path, and no advertising. Section 4 of these Terms (License Tiers, Pricing, and Payment) does not apply to IWV Chat AI.

AI Features. Both NotesXML and IWV Chat AI include AI features that use on-device language models to generate text-based output such as summaries, titles, translations, and conversational responses. AI models produce results based on statistical patterns and may generate inaccurate, incomplete, or misleading content. You are responsible for reviewing and verifying all AI-generated content before relying on it. IWV Digital Solutions does not guarantee the accuracy of AI output. See EULA Section 9 for complete terms governing AI features.

3. Accounts and License Keys

NotesXML does not require account creation for Free Tier use. Paid licenses are delivered via License Key.

License Key Delivery: Upon purchase of a Professional or Academic license from the IWV Digital Solutions website, a License Key will be delivered to the email address you provide at checkout.
License Key Activation: You activate your license by entering your License Key in the App. License Keys may be used only on the number of devices permitted by your license type (see EULA Section 2).
Key Security: You are responsible for keeping your License Key confidential. Do not share your key with others. IWV Digital Solutions reserves the right to deactivate keys that have been shared or misused.
Key Loss: If you lose your License Key, contact support@iwvdigitalsolutions.com with your purchase email address to request key recovery.
Google Play Subscriptions: If you purchase a subscription through Google Play, your entitlement is managed by Google. You do not receive a separate License Key; the App verifies your entitlement through Google Play Billing.
Microsoft Store Purchases: Your entitlement is managed by Microsoft. Verification occurs through the Microsoft Store API.

4. License Tiers, Pricing, and Payment

NotesXML offers the following license tiers and pricing:

All prices are in US Dollars (USD) and are exclusive of applicable taxes. Prices are subject to change with reasonable notice. The price at the time of purchase governs your transaction.

4.1 Subscriptions

Monthly (Google Play only): The $4.99/month Professional subscription automatically renews monthly through Google Play until cancelled. AUTOMATIC RENEWAL NOTICE: Your subscription will be automatically charged at the rate of $4.99 USD per month until you cancel.

Annual (all platforms): The annual subscription ($24.99/year direct, $29.99/year on Google Play and Microsoft Store) automatically renews yearly until cancelled. AUTOMATIC RENEWAL NOTICE: Your subscription will be automatically charged at the applicable annual rate until you cancel.

Cancellation: You may cancel any subscription at any time through the platform's subscription management interface. Your access continues until the end of the current billing period.
Subscription Cancellation vs. Refund: Cancellation stops future billing but does not entitle you to a refund of the current period unless required by the platform's policy.

4.2 Lifetime Licenses

Lifetime licenses provide permanent access to the Professional tier features available at the time of purchase on the licensed platform.
Lifetime licenses are non-transferable and non-refundable after the applicable refund period (see Section 5).

4.3 Academic Licenses

Available at $24.99 USD to eligible students and faculty. Requires .edu email verification.
Academic licenses are cross-platform (Android and desktop).
Academic pricing is available exclusively through the IWV Digital Solutions website.

4.4 14-Day All-Access Trial

All new installations receive a 14-day trial with full Professional-level feature access. No payment is required. No automatic charge occurs at trial end. After 14 days without a valid license, the App transitions to the Free Tier. Your data is preserved.

4.5 Taxes

You are responsible for all applicable taxes on your purchase. For purchases through Google Play or Microsoft Store, taxes are handled by the respective platform. For direct purchases, applicable sales tax may be added at checkout based on your location.

5. Refund Policy

The full Refund Policy is published at https://iwvdigitalsolutions.com/legal/refund. Key terms are summarized here:

5.1 Direct Website Purchases

Lifetime licenses purchased directly from iwvdigitalsolutions.com may be refunded within 30 days of purchase, no questions asked.
Refund requests must be submitted to support@iwvdigitalsolutions.com with your purchase email and order reference.
Refunds are processed to the original payment method within 5–10 business days.
After 30 days, all direct purchase sales are final.

5.2 Google Play Purchases

Purchases through Google Play are subject to Google Play's refund policy.
For one-time (lifetime) purchases, Google Play provides a 2-hour self-service refund window. After 2 hours, refund requests must be submitted directly to Google Play support.
For subscription purchases, Google Play provides a 48-hour self-service refund window for the first billing period. After 48 hours, refund requests must be submitted to Google Play support.
IWV Digital Solutions cannot override Google Play refund decisions.

5.3 Microsoft Store Purchases

Purchases through the Microsoft Store are subject to the Microsoft Store refund policy.
Generally, Microsoft provides refund eligibility within 14 days of purchase if the App has not been substantially used.
IWV Digital Solutions cannot override Microsoft Store refund decisions.

5.4 Academic and Beta Licenses

Academic licenses are refundable within 30 days of purchase through the IWV Digital Solutions website if the .edu verification is revoked or found ineligible.
Beta Tester Licenses are provided free of charge and are not refundable.

6. Two-Tier License Model

6.1 Free Tier

The Free Tier is available to all users at no charge, indefinitely. The Free Tier includes unlimited notebooks, notes, and pages, all 22 note types, local file storage, local encryption, and import/export features. Cloud sync and select premium features are not available in the Free Tier.

6.2 Professional Tier

The Professional Tier provides full feature access as described in the EULA and feature matrix. Professional access is granted by a valid license key or active Google Play subscription.

7. Beta Builds

Beta builds of NotesXML are pre-release software provided for testing purposes under a Beta Tester License. By using a Beta build, you acknowledge:

Beta software is not production-ready and may contain errors, bugs, incomplete features, or unexpected behavior.
IWV Digital Solutions provides no warranty for Beta software. See EULA Section 9.
Beta Tester Licenses expire after 30 days. Your User Data is preserved at expiration; the App transitions to the Free Tier.
Beta builds may expire earlier than stated if a new build is released.
Do not rely on Beta software for critical data without maintaining independent backups.

8. Your User Data

IWV Digital Solutions operates a Zero-Exposure Protocol for your User Data. Your notebooks, notes, and documents are stored locally on your device in NXL format files and are never transmitted to IWV Digital Solutions servers. See the Privacy Policy and EULA for complete details.

You are solely responsible for:

Maintaining backups of your User Data. IWV Digital Solutions does not hold copies of your data.
Managing encryption passphrases. IWV Digital Solutions cannot recover encrypted data if a passphrase is lost.
Complying with applicable laws regarding the content you create and store in the App.

9. Prohibited Uses

You agree not to use the App or Website to:

Violate any applicable local, state, national, or international law or regulation.
Infringe any intellectual property rights of IWV Digital Solutions or any third party.
Circumvent, disable, or interfere with security features of the App, including license enforcement mechanisms.
Engage in any conduct that restricts or inhibits anyone's use or enjoyment of the App.
Store or transmit material that is unlawful, harmful, threatening, abusive, harassing, defamatory, or otherwise objectionable.
Use the App in any manner that could damage, disable, overburden, or impair IWV Digital Solutions's servers or networks.
Use automated means (bots, scrapers, or similar tools) to access or collect data from the Website without prior written permission.

10. Intellectual Property

The App, Website, and all related content (excluding User Data) are the intellectual property of IWV Digital Solutions LLC and are protected by applicable intellectual property laws. Nothing in these Terms grants you any rights to IWV Digital Solutions's intellectual property except the limited license described in the EULA.

User Data remains your intellectual property. See EULA Section 5 and Privacy Policy Section 3.

11. Third-Party Services

The App integrates with certain third-party services:

Google Drive and Dropbox: Optional cloud synchronization. Your use of these services is governed by their respective terms and privacy policies. IWV Digital Solutions is not responsible for any service outages, data loss, or changes to third-party services.
Google Play Billing: In-app purchases on Android. Governed by Google Play Terms of Service.
Stripe: Payment processing for direct website purchases. Governed by Stripe's terms.

12. Communications

Transactional Emails: We send transactional emails related to your purchases, license key delivery, and support interactions. These are required for service delivery.

Marketing and Beta Communications: If you provide your email address for the Beta Waitlist or opt in to receive product updates, we may send you marketing communications. Every such email will include a clear and functional unsubscribe link. You may unsubscribe at any time. We comply with the requirements of the CAN-SPAM Act for all commercial email communications.

13. DMCA — Copyright Infringement Notice

IWV Digital Solutions respects the intellectual property rights of others and expects users of its Website to do the same. If you believe that material on the Website infringes your copyright, please provide written notice to our Designated DMCA Agent at the address below, including: (a) identification of the copyrighted work claimed to be infringed; (b) identification of the allegedly infringing material and its location; (c) your contact information; (d) a statement of good faith belief that the use is not authorized; and (e) a statement under penalty of perjury that the information in the notice is accurate and that you are authorized to act on behalf of the copyright owner.

14. Disclaimer of Warranties

THE APP AND WEBSITE ARE PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND. IWV DIGITAL SOLUTIONS DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. NOTHING IN THESE TERMS EXCLUDES ANY WARRANTY THAT CANNOT BE EXCLUDED UNDER APPLICABLE CONSUMER PROTECTION LAW.

15. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IWV DIGITAL SOLUTIONS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM YOUR USE OF THE APP OR WEBSITE. IWV DIGITAL SOLUTIONS'S TOTAL LIABILITY SHALL NOT EXCEED THE GREATER OF THE AMOUNT PAID BY YOU FOR THE APP IN THE PRECEDING 12 MONTHS OR $50 USD. NOTHING IN THESE TERMS LIMITS LIABILITY THAT CANNOT BE LIMITED UNDER APPLICABLE LAW.

16. Modifications to These Terms

IWV Digital Solutions reserves the right to modify these Terms at any time. When we do:

We will update the "Effective" date at the top of this document.
We will post the updated Terms at https://iwvdigitalsolutions.com/legal/terms.
For material changes, we will notify you through the App or by email (if we have your email address) at least 14 days before the changes take effect.
Your continued use of the App after the effective date constitutes acceptance of the updated Terms.
If you do not agree to the updated Terms, you should stop using the App.

17. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of California without regard to conflict of law principles. Any disputes arising from these Terms or your use of the App shall be submitted to the exclusive jurisdiction of the state and federal courts in California, unless required otherwise by applicable consumer protection law in your jurisdiction.

If you are a consumer in a jurisdiction that provides mandatory consumer dispute resolution mechanisms (such as the EU Online Dispute Resolution platform), you may use those mechanisms notwithstanding the above.

California Residents: Nothing in these Terms limits any rights you have under California law, including rights under the CCPA/CPRA, the Consumers Legal Remedies Act (CLRA), or the California Business and Professions Code.

18. Entire Agreement

These Terms, together with the EULA at https://iwvdigitalsolutions.com/legal/eula, the Privacy Policy at https://iwvdigitalsolutions.com/legal/privacy, and the Refund Policy at https://iwvdigitalsolutions.com/legal/refund, constitute the entire agreement between you and IWV Digital Solutions with respect to the App and Website, and supersede all prior agreements, understandings, and discussions.

19. Severability and Waiver

If any provision of these Terms is found invalid or unenforceable, the remaining provisions will remain in effect. No waiver of any provision shall be effective unless in writing signed by IWV Digital Solutions.
